Terms and Conditions

1. Acceptance of These Terms

By accessing, browsing, or purchasing any product, service, membership, allocation, distribution role, ambassador role, or registry entry from or through 37 Studios ("37 Studios," "we," "us," or "our"), you ("you," "the customer," or "the buyer") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to all of these Terms, you must not access our website, initiate any checkout, submit any payment, or accept any product or role.

These Terms constitute a legally binding agreement between you and 37 Studios governing every transaction, registration, allocation, distribution, ambassadorship, registry entry, and interaction with our platform, products, personnel, and network. Your submission of payment at checkout constitutes your affirmative, informed, and unconditional acceptance of every provision set forth herein, including the binding arbitration, class-action waiver, and limitation-of-liability provisions in Sections 13 and 14.

We may update these Terms at any time in our sole discretion. The most current version will always be posted at 37studios.online/terms. Your continued use of our website, platform, or services after any update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. The date of the most recent revision is displayed above.

2. Eligibility & Capacity to Contract

You represent and warrant that you are at least 18 years of age, the age of majority in your jurisdiction of residence, and legally capable of entering into binding contracts. You further represent that any payment method you use is your own, that you are authorized to use it, and that the billing, shipping, and registration information you provide is accurate, complete, and truthful in all respects.

You represent and warrant that you are not listed on any United States or other applicable government denied-party, restricted, or sanctions list, and that your purchase, registration, or participation does not violate any law applicable to you. If you are purchasing on behalf of an entity, you represent that you have full authority to bind that entity to these Terms.

By completing checkout you confirm that the name, email, shipping address, and all other details you provided are accurate and belong to you, and that you consent to the verification of those details by 37 Studios, our payment processor (Stripe), our shipping carriers, and our registry infrastructure as part of order authentication and fraud prevention.

3. Products, Pricing, and Availability

37 Studios designs, produces, and sells precious-metal objects, fine garments, serialized editions, and related luxury goods. Every object is registered in the 37 Registry, a permanent authentication ledger that documents each piece from creation through every subsequent transfer of ownership. The presence of a product on our website or in any allocation, distributor, or ambassador panel does not constitute a guarantee of availability.

All prices are listed in United States dollars (USD) and are subject to change without notice. Prices displayed at checkout are the prices in effect at the moment of your transaction and apply only to that specific order. We reserve the right to correct typographical or pricing errors and to refuse or cancel any order placed at an incorrect price, with a full refund of any amount already charged.

Precious-metal content, purity, weight, hallmark details, and melt values displayed on product pages, panels, or certificates are based on the specifications of the production run and are subject to normal manufacturing tolerances. Melt values fluctuate with live precious-metal markets and are displayed for informational purposes only; they are not a guarantee of resale value. The retail price you pay reflects the craftsmanship, materials, serialization, registry documentation, and brand value of the object, not solely its precious-metal content.

Preferred colors and sizes selected at checkout are preferences only and are not guaranteed. 37 Studios fulfills orders based on available inventory and production assignments. If your preferred option is unavailable, we will fulfill your order with the closest available equivalent or contact you to coordinate an alternative.

4. Orders, Payment, and Authorization

When you submit payment at checkout, you authorize 37 Studios and our payment processor, Stripe, to charge the full amount displayed to your selected payment method. An order is not confirmed until payment authorization is successful and a confirmation is generated. We reserve the right to refuse, delay, or cancel any order at any stage for any reason, including suspected fraud, payment irregularity, inventory unavailability, or compliance concerns, with a refund of any amount already charged where applicable.

All payments are processed securely by Stripe. 37 Studios does not store your full card number, CVV, or other raw payment credentials. By submitting payment you consent to Stripe's processing of your transaction under its own terms and privacy policy, and to our use of the resulting transaction record (transaction ID, authorization status, billing address, and related metadata) for fulfillment, fraud prevention, registry documentation, and dispute defense.

You acknowledge that the billing address, shipping address, customer name, and customer email you provide at checkout are compared against the cardholder's details on file with the card-issuing bank as part of our standard fraud-prevention and dispute-defense process. A mismatch may delay or cancel your order. You authorize 37 Studios to retain the full transaction record, including AVS/CVC results, IP address, device and browser information, and timestamps, and to submit that record to any payment network, card issuer, or reviewing authority in the event of a dispute.

5. Shipping, Fulfillment, and Delivery

37 Studios fulfills orders through our internal operations and third-party carriers (including USPS, UPS, FedEx, and others at our discretion). Shipping costs, if any, are displayed at checkout and added to your total. Estimated delivery times are estimates only and are not guaranteed; we are not liable for carrier delays, customs holds, weather events, or other circumstances outside our control.

Title and risk of loss pass to you upon delivery to the address you provided. You are responsible for ensuring that the shipping address you submit is accurate, secure, and able to receive the package. 37 Studios is not responsible for packages lost, stolen, or misdelivered after the carrier records delivery to the address you provided. Tracking numbers are provided to you and may be used as proof of delivery in any dispute.

If a package is returned to us as undeliverable because of an incorrect or incomplete address you provided, we will attempt to contact you to coordinate re-shipment at your expense. If we cannot reach you within 30 days, we may treat the order as abandoned and, at our option, retain the order or issue a refund less any incurred shipping, return, and restocking costs.

International shipments may be subject to customs duties, taxes, and fees imposed by the destination country. These charges are the sole responsibility of the buyer. 37 Studios has no control over and accepts no liability for customs delays, seizures, or fees. By completing an international order you accept full responsibility for any such charges.

6. Returns, Refunds, and Chargeback Policy

Given the custom, serialized, and precious-metal nature of our products, all sales are final unless a return, exchange, or refund is expressly authorized in writing by 37 Studios in advance. Each product is individually serialized and registered in the 37 Registry, and the provenance chain is permanent; once an edition is claimed and ownership is recorded, its value is tied to its unbroken registry record.

If your order arrives damaged or defective, you must notify us in writing within 7 calendar days of delivery with photographs of the damage and the original packaging. We will, at our option and after inspecting the product, repair, replace, or issue a refund for the damaged or defective item. This remedy is your sole and exclusive remedy for damaged or defective products, and you must return the item in its original condition and packaging before any remedy is issued.

You agree that you will not initiate a credit card chargeback, payment dispute, ACH return, or any other payment reversal against 37 Studios for any order that was (a) authorized by you, (b) shipped to the verified address you provided, and (c) delivered to that address as recorded by the carrier with a valid tracking number. If you have a concern about an order, you agree to first contact us directly at the address listed in Section 20 and allow us a reasonable opportunity to resolve the matter before initiating any dispute with your bank or card issuer.

If you initiate a chargeback or payment dispute in violation of this Section, you agree to reimburse 37 Studios for all costs incurred in defending the dispute, including any reversed amounts, dispute fees, chargeback fees, and reasonable administrative costs, and you authorize 37 Studios to submit the complete transaction record — including these Terms, your acceptance timestamp, payment authorization, shipping confirmation, carrier tracking, delivery confirmation, and registry authentication — to the relevant payment network, card issuer, or reviewing authority as evidence in support of our position. You acknowledge that this evidence may be determinative of the dispute outcome and that submitting false or fraudulent chargebacks may constitute a violation of applicable law.

By completing checkout you expressly represent that you received the product described at the price displayed, that the billing, shipping, and registration information you provided is accurate, and that you will not falsely deny authorizing the transaction or falsely claim non-receipt of a product that was delivered to the address you provided and confirmed as delivered by the carrier.

7. The 37 Registry, Authenticity, and Provenance

Every 37 Studios object is permanently registered in the 37 Registry, our authentication ledger. Each piece carries a serial number and a Kodikos Prosvasis (a unique access code embedded in the physical piece) that links the physical object to its permanent digital record. The registry documents authenticity, ownership transfers, and provenance and is designed to be verifiable by any third party through the Kosmos.

The registry record is the authoritative source of truth for the object's authenticity and chain of custody. You acknowledge that 37 Studios has the right to record, retain, and disclose registry information — including your name or registry handle, ownership dates, and transfer history — to fulfill our authentication, fraud-prevention, compliance, and dispute-defense obligations, and that such disclosure is a material and intended purpose of the registry.

You agree not to misrepresent, falsify, or omit information in the 37 Registry, and not to tamper with, circumvent, or attempt to corrupt the registry, the Kodikos Prosvasis, or any serial number. Any such attempt is a material breach of these Terms and may result in immediate revocation of access, registry correction, and legal action.

37 Studios warrants that every product we sell is authentic as described in its registry record at the time of sale. This limited authenticity warranty is in addition to any rights you may have under applicable law and is limited to the product as originally delivered. It does not extend to products altered, damaged, or modified after delivery, or to products resold through channels outside the registry.

8. Allocations, Distributors, and Ambassadors

37 Studios operates a network of allocations, distributors, and ambassadors who are independent contractors, not employees, agents, or partners of 37 Studios. Their participation is governed by separate agreements executed as part of their training and onboarding. Nothing in their relationship with 37 Studios creates an employment, agency, partnership, or joint-venture relationship.

Allocations, distributors, and ambassadors earn commission on sales and referrals as described in their respective training agreements. Commission is not a salary, wage, or guaranteed minimum; it depends entirely on sales activity, market conditions, and performance. 37 Studios may adjust commission structures, allocation costs, retail prices, and network roles at its discretion.

Participants in the network are responsible for their own taxes, compliance, and conduct. They may not make false or exaggerated earnings claims, engage in deceptive recruitment, or represent 37 Studios beyond the scope of their role. 37 Studios reserves the right to modify, suspend, or revoke any participant's access at any time, with or without cause and with or without notice, including for inactivity, misconduct, breach of terms, or operational changes.

If you are a buyer interacting with an allocation, distributor, or ambassador, your purchase is still with 37 Studios directly through our integrated checkout and registry; the network member may facilitate the introduction but the transaction, payment, fulfillment, and registry record are governed by these Terms and our internal systems.

9. Intellectual Property

All 37 Studios trademarks, logos, product designs, technical drawings, marketing materials, training content, registry data, website content, and brand assets are the exclusive property of 37 Studios. You receive no ownership interest in any of these assets by purchasing a product or participating in the network.

You may use studio-provided materials solely for the purpose of presenting and selling authorized products or participating in an authorized role, and you may not modify, rebrand, redistribute, or create derivative works from studio assets without written permission. All goodwill associated with any such use inures to the benefit of 37 Studios.

Unauthorized reproduction, counterfeiting, or use of 37 Studios intellectual property is a material breach of these Terms and may be pursued through all available legal remedies, including civil and criminal action.

10. Warranties and Disclaimers

EXCEPT FOR THE LIMITED AUTHENTICITY WARRANTY IN SECTION 7 AND ANY NON-WAIVABLE STATUTORY WARRANTIES, ALL PRODUCTS, SERVICES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." 37 STUDIO AND ITS OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

37 Studios does not warrant that our website, platform, registry, or panels will be uninterrupted, error-free, secure, or available at all times. We do not warrant that any product will meet your particular requirements or that precious-metal values will not fluctuate. Market, melt, and resale values are not guaranteed and may rise or fall.

No oral or written statement by any 37 Studios representative, allocation, distributor, ambassador, or other party modifies these Terms or creates any warranty not expressly stated herein. Any product description, image, or statement is for informational purposes only and does not constitute a warranty.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 37 STUDIOS, ITS OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, LOST DATA, OR REPUTATIONAL HARM, ARISING FROM OR RELATED TO YOUR PURCHASE, REGISTRATION, PARTICIPATION, OR USE OF OUR WEBSITE, PRODUCTS, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL AGGREGATE LIABILITY OF 37 STUDIOS TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS, YOUR PURCHASE, OR YOUR USE OF OUR PRODUCTS OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO 37 STUDIOS FOR THE SPECIFIC PRODUCT OR TRANSACTION THAT GAVE RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, 37 Studios's liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless 37 Studios and its officers, employees, affiliates, contractors, and suppliers from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Terms; (b) your use of our website, products, or services; (c) your violation of any applicable law; (d) any false, inaccurate, or misleading information you provided at checkout or in the registry; or (e) any chargeback or payment dispute you initiate in violation of Section 6.

37 Studios reserves the right, at our own expense, to assume the exclusive defense of any matter otherwise subject to your indemnification, in which case you will cooperate with us in such defense. You will not settle any matter that imposes liability on 37 Studios without our prior written consent.

13. Dispute Resolution and Binding Arbitration

EXCEPT FOR DISPUTES THAT MAY BE RESOLVED IN SMALL-CLAIMS COURT, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, YOUR PURCHASE, YOUR REGISTRATION, OR YOUR USE OF OUR PRODUCTS OR SERVICES (COLLECTIVELY, A "DISPUTE") SHALL BE RESOLVED BY FINAL, BINDING, CONFIDENTIAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES THEN IN EFFECT, EXCEPT AS MODIFIED HEREIN.

The arbitration shall be conducted by a single arbitrator in New York County, New York, or, if your claim is for USD $10,000 or less, by telephone or written submission as the arbitrator determines. The arbitrator's award may be entered in any court of competent jurisdiction. Judgment on the award may be entered by any court having jurisdiction. The arbitrator shall have no authority to award punitive or consequential damages, except as permitted by applicable law.

YOU AND 37 STUDIOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, COLLECTIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR MAY CONSOLIDATE ONLY INDIVIDUAL CLAIMS WHERE THE PARTIES AGREE IN WRITING. YOU AND 37 STUDIOS WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, WHETHER AS A PLAINTIFF, CLASS MEMBER, OR OTHERWISE.

A party may, before the arbitration is conducted, seek provisional or injunctive relief from a court of competent jurisdiction in New York County, New York, to preserve assets or enforce intellectual-property rights, and any such relief shall not waive the party's right to arbitration. If for any reason a dispute proceeds in court rather than arbitration, the exclusive venue shall be the state and federal courts located in New York County, New York.

14. Governing Law and Venue

These Terms, your purchase, and any dispute between you and 37 Studios shall be governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You consent to the personal jurisdiction of the state and federal courts located in New York County, New York, for any matter not subject to arbitration or for any action to enforce an arbitration award.

15. Privacy and Data

Your personal information, transaction data, registry records, and device/network information are collected, stored, and processed as described in our Privacy Policy and as necessary to fulfill orders, maintain the registry, prevent fraud, defend disputes, comply with law, and operate our business. By completing checkout you consent to such processing.

You acknowledge that transaction records, registry entries, and dispute evidence may be retained indefinitely where necessary for authentication, provenance, compliance, and legal-defense purposes, and that your name or registry handle may appear permanently in the ownership chain of products you hold or have held.

16. Chargeback Acknowledgment and Evidence Consent

By checking the Terms and Conditions box at checkout and submitting payment, you expressly acknowledge and agree that: (a) you authorized the specific transaction shown; (b) the shipping address you provided is your accepted delivery address; (c) you understand that the product is serialized, registered, and documented permanently in the 37 Registry; and (d) you will not initiate a chargeback or payment reversal for an order that was authorized, shipped, and delivered as recorded by the carrier.

You further consent to 37 Studios compiling and submitting, in the event of any chargeback, payment dispute, ACH return, or pre-arbitration or arbitration demand, a complete evidence package that may include: these Terms and your acceptance timestamp; the order record; the payment authorization and AVS/CVC results; the shipping confirmation, carrier tracking number, and delivery confirmation; the product's serial number, Kodikos Prosvasis, registry record, authenticity status, hallmark and assay details, and ownership/provenance chain; and any related purchase history. You acknowledge that this evidence package is compiled in good faith from our internal systems, the payment processor, the shipping carrier, and the 37 Registry, and is submitted to support our position that the transaction was authorized and the product was delivered as described.

You acknowledge that knowingly disputing a charge that you in fact authorized may constitute fraud under applicable federal and state law, including 18 U.S.C. § 1343 (wire fraud) and comparable state statutes, and may expose you to civil and criminal liability in addition to the remedies described in Section 6 and Section 12.

17. Modifications to Orders

Once an order is submitted and payment is authorized, you may not modify, combine, or cancel it except with our prior written consent. We may, at our option, accommodate address corrections before shipment. After shipment, modifications are not possible; you may need to coordinate a return or re-shipment under Section 6 if applicable.

18. Force Majeure

37 Studios is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, carrier failures, supplier failures, precious-metal supply disruptions, internet or telecommunications outages, or payment-processor outages.

19. Severability

If any provision of these Terms is held to be unenforceable, invalid, or illegal by a court or arbitrator of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most nearly reflects the original intent.

Official legal notices to 37 Studios may be sent to our registered address in New York County, New York. You consent to receive transactional and legal communications from us at the email address you provide at checkout.
